1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a binding agreement between Cabrini Studios
("Studio," "we," "us," or "our") and any individual or entity that books, engages, or otherwise
retains the Studio's photography services ("Client," "you," or "your"). By submitting a booking
inquiry, signing a service agreement, paying a retainer, or otherwise engaging our Services, you
acknowledge that you have read, understood, and agree to be bound by these Terms, together with
any service-specific agreement, invoice, or statement of work issued by the Studio (collectively,
the "Agreement"). If you do not agree to these Terms, please do not book or use our Services.
2. Definitions
- Studio means Cabrini Studios and its principal photographer, employees, and authorized subcontractors.
- Client means the individual(s) or organization engaging the Studio's Services under this Agreement.
- Services means the wedding, portrait, product, and/or event photography services described in the applicable quote or service agreement.
- Session means any individual photography engagement, shoot day, or event covered under this Agreement.
- Images means all photographs, digital files, proofs, and other visual works captured or produced by the Studio in connection with the Services.
- Deliverables means the final, edited Images provided to the Client pursuant to the applicable package or agreement.
3. Services Offered
The Studio provides professional photography services across four principal disciplines:
(a) wedding and destination wedding photography; (b) portrait and editorial photography;
(c) product and commercial photography; and (d) event photography. The specific scope, package
inclusions, number of Deliverables, coverage hours, and fees for each Session are set out in the
applicable quote, invoice, or service agreement provided to the Client prior to booking and are
incorporated into this Agreement by reference.
4. Bookings, Retainers & Scheduling
- A Session is confirmed only upon (i) the Studio's receipt of a signed service agreement or written acceptance of a quote, and (ii) receipt of the applicable non-refundable retainer, currently twenty-five percent (25%) of the total Service fee unless otherwise specified in writing.
- Dates are reserved on a first-paid, first-served basis; a verbal or written quote does not constitute a booking until the retainer is received.
- The Client is responsible for providing accurate event details, timelines, and location information no later than fourteen (14) days prior to the Session.
5. Fees & Payment Terms
- The balance of all fees is due no later than fourteen (14) days prior to the Session date unless otherwise agreed in writing.
- Accepted payment methods include bank transfer, major credit/debit card, and such other methods as the Studio may specify.
- Late payments not received within five (5) business days of the due date may incur a late fee of one and one-half percent (1.5%) per month on the outstanding balance, and the Studio reserves the right to suspend Services, withhold Deliverables, or treat the booking as cancelled by the Client until payment is received.
- Travel, lodging, parking, tolls, and related expenses for destination or out-of-area assignments are billed separately at cost, or as a flat travel fee disclosed in the applicable quote.
- All fees are exclusive of applicable sales, use, or value-added taxes, which shall be added where required by law.
6. Cancellations, Rescheduling & Postponement
Client-Initiated Cancellation. The retainer described
in Section 4 is non-refundable under all circumstances, as it compensates the Studio for reserving
the date and declining other engagements. Cancellations received: (i) more than ninety (90) days
before the Session are entitled to a refund of any payments made beyond the retainer; (ii) between
ninety (90) and thirty (30) days before the Session are entitled to a fifty percent (50%) refund of
payments made beyond the retainer; and (iii) less than thirty (30) days before the Session are
non-refundable in full.
Rescheduling. The Studio will make commercially
reasonable efforts to accommodate one date change per booking, subject to availability, at no
additional fee if requested more than sixty (60) days in advance. Date changes requested inside
sixty (60) days, or subsequent changes, may incur a rescheduling fee of up to fifteen percent (15%)
of the total Service fee.
Studio-Initiated Cancellation. In the rare event the
Studio is unable to perform due to illness, emergency, or other circumstances beyond reasonable
control, the Studio will use commercially reasonable efforts to secure a qualified substitute
photographer of comparable skill and style. If no substitute is available or acceptable to the
Client, the Studio will refund all amounts paid, and such refund shall be the Client's sole and
exclusive remedy.
7. Image Delivery, Editing & Turnaround
- Deliverables are professionally color-corrected and retouched in the Studio's signature editorial style. Estimated turnaround times are: weddings and destination weddings, six (6) to eight (8) weeks; portrait sessions, two (2) weeks; product photography, one (1) to two (2) weeks; and events, two (2) to three (3) weeks from the date of the Session, subject to seasonal demand.
- Where applicable, the Client will be provided a preview gallery for selection purposes within the timeframe specified in the applicable package.
- Unless expressly included in the Client's package, unedited or raw image files are not provided and remain the property of the Studio.
- Requests for additional edited images, extended retouching, or expedited delivery beyond the included scope will be quoted and billed separately.
8. Copyright & Intellectual Property
- The Studio is the sole author and copyright owner of all Images, including all Deliverables, in accordance with applicable copyright law. No sale of Deliverables, whether digital or print, transfers copyright ownership to the Client.
- Upon full payment, the Client is granted a personal, non-exclusive, non-transferable, royalty-free license to reproduce, print, and share the Deliverables for personal, non-commercial purposes, including social media, provided that any public use includes photographer credit ("Cabrini Studios") where reasonably practicable.
- For product and commercial engagements, the scope, duration, territory, and exclusivity of the Client's usage license (including any advertising, packaging, or resale use) shall be as expressly set out in the applicable commercial license agreement or invoice; absent such terms, usage is limited to internal and non-paid promotional use only.
- The Client shall not alter, crop, apply filters to, or remove watermarks or credit from any Image in a manner that misrepresents the Studio's work, nor sell, sublicense, or claim authorship of any Image, without the Studio's prior written consent.
- The Studio retains the right to use any Images produced under this Agreement for its own portfolio, marketing, website, social media, editorial submissions, and competition entries, unless the Client opts out in writing prior to the Session. Where such opt-out is requested for weddings or events involving third parties, the Client remains responsible for informing guests accordingly.
9. Model & Property Releases
- By booking the Services, the Client represents and warrants that it has obtained, or will obtain, all necessary consents and releases from any individuals appearing in the Images (including guests, minors' parents or guardians, employees, and models) authorizing the Studio to photograph such individuals and to use the resulting Images as contemplated by this Agreement.
- The Client is responsible for securing any venue access permits, location releases, or third-party permissions (including private property, public venues, or trademarked/branded environments) required for the Session. The Studio is not liable for restrictions imposed by venues or third parties that limit the scope of coverage.
10. Client Responsibilities
- The Client shall designate a single point of contact, provide a realistic and complete schedule, and ensure timely access to locations, subjects, and (for product photography) items to be photographed.
- For product photography, the Client is responsible for providing products in a condition suitable for photography; the Studio is not liable for pre-existing damage, defects, or condition issues in Client-supplied items, and will exercise reasonable care in handling such items.
- For event photography, the Client shall advise the Studio in advance of any restricted areas, privacy-sensitive individuals, or other vendors whose cooperation may be required, and shall facilitate reasonable access for the Studio to perform the Services.
- The Client acknowledges that factors outside the Studio's control (weather, venue lighting, guest behavior, third-party vendors, or event delays) may affect the Studio's ability to capture certain Images, and agrees that such factors do not constitute a breach of this Agreement by the Studio.
11. Limitation of Liability
- To the fullest extent permitted by law, the Studio's total aggregate liability arising out of or relating to the Services, whether in contract, tort, or otherwise, shall not exceed the total fees actually paid by the Client for the Session giving rise to the claim.
- In no event shall the Studio be liable for indirect, incidental, special, consequential, or punitive damages, including loss of enjoyment, sentimental value, or business opportunity, even if advised of the possibility of such damages.
- The Studio employs professional-grade equipment, dual card recording where practicable, and reasonable data backup practices; however, the Studio does not guarantee against equipment malfunction, memory card failure, theft, fire, or other loss beyond its reasonable control. In the unlikely event that Images are lost, damaged, or destroyed for reasons beyond the Studio's reasonable control, the Client's sole and exclusive remedy shall be a full refund of fees paid for the affected Session.
12. Insurance & Indemnification
- The Studio maintains commercial general liability insurance and will provide a certificate of insurance to venues or Clients upon reasonable request.
- The Client agrees to indemnify and hold harmless the Studio, its employees, and subcontractors from and against any third-party claims, damages, or expenses (including reasonable attorneys' fees) arising from (i) the Client's breach of the warranties in Section 9, (ii) the Client's failure to secure required permits or permissions, or (iii) the Client's misuse of the Deliverables in violation of Section 8.
13. Travel & Destination Assignments
- For destination weddings and out-of-area assignments, travel, accommodation, and related incidental expenses are the Client's responsibility, either billed at cost or as a flat travel fee disclosed in the applicable quote.
- Multi-day destination coverage may be subject to an additional day rate, disclosed in advance.
- The Client is responsible for advising the Studio of any destination-specific requirements (visas, vaccinations, permits, or safety advisories) reasonably in advance of travel; the Studio reserves the right to decline or reschedule travel to locations subject to government travel advisories against non-essential travel, without penalty to the Studio.
14. Confidentiality & Privacy
The Studio will handle personal information provided by the Client (including contact details and
event information) in accordance with reasonable data-protection practices, and will not sell or
disclose such information to third parties except as necessary to perform the Services or as
required by law. Questions regarding data handling may be directed to the contact details in
Section 19.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance under this Agreement to the
extent such failure or delay is caused by circumstances beyond that party's reasonable control,
including natural disaster, extreme weather, fire, pandemic, epidemic, governmental order, strike,
or civil unrest (a "Force Majeure Event"). In the event of a Force Majeure Event affecting the
Session date, the parties will cooperate in good faith to reschedule the Session at no additional
rescheduling fee, or, if rescheduling is not feasible, the Studio will refund all amounts paid less
any costs already reasonably and non-recoverably incurred by the Studio in preparation for the
Session.
16. Dispute Resolution
The parties agree to attempt in good faith to resolve any dispute arising out of this Agreement
through direct negotiation before pursuing formal proceedings. If a dispute is not resolved within
thirty (30) days, either party may pursue any remedy available at law, subject to Section 18.
17. General Provisions
- Entire Agreement. This Agreement, together with any signed service agreement, quote, or invoice referencing these Terms, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior discussions, proposals, or understandings, whether written or oral.
- Amendments. The Studio may update these Terms from time to time; the version in effect at the time of booking shall govern that booking, and any material change affecting an existing booking will be communicated to the Client in writing and requires the Client's consent to apply retroactively.
- Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be deemed modified to the minimum extent necessary to make it enforceable.
18. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of
Illinois, without regard to its conflict-of-laws principles. The parties consent to the exclusive
jurisdiction and venue of the state and federal courts located in Cook County, Illinois for any
dispute arising out of or relating to this Agreement, except as otherwise required by applicable
consumer protection law.
